1. Definitions

"Alpha" refers to the Alpha orchestration platform operated under the domain alpha-eta.biz. "User" refers to any institutional client, sender, or counterparty granted access to the platform. "Provider" refers to regulated third parties including but not limited to banking rails, payment processors, and crypto execution venues integrated with Alpha.

2. Nature of the Service

Alpha is a non-custodial settlement orchestration platform. Alpha does not hold, custody, or take title to any funds, securities, or digital assets. All fund movement is executed by regulated Providers under their own licenses and compliance frameworks. Alpha's role is limited to validating institutional payment evidence, coordinating execution instructions across approved Providers, and producing immutable audit records.

3. Eligibility

Use of Alpha is restricted to institutional clients that have completed onboarding including KYC (Know Your Customer), KYB (Know Your Business), sanctions screening, and source-of-funds documentation. Alpha reserves the right to refuse, suspend, or terminate access at any time at its sole discretion, including but not limited to compliance, sanctions, or risk concerns.

5. Compliance Cooperation

Users acknowledge that Alpha and its Providers operate under anti-money-laundering, counter-terrorism-financing, and sanctions compliance regimes. Users agree to cooperate fully with information requests, transaction reviews, holds, and rejections required by these regimes. Alpha may suspend or reject any transaction without prior notice where compliance review is required.

6. No Warranty

The Alpha platform is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. Alpha does not warrant the performance, pricing, or settlement timing of any Provider.

7. Limitation of Liability

To the maximum extent permitted by law, Alpha shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from User's use of the platform. Alpha's aggregate liability shall not exceed the fees paid by the User to Alpha in the twelve months preceding the event giving rise to the claim.

8. Indemnification

User agrees to indemnify and hold harmless Alpha, its affiliates, officers, employees, and agents from any claim, liability, or expense arising from User's breach of these Terms, User's violation of any law or regulation, or User's misuse of the platform.

9. Termination

Alpha may terminate or suspend a User's access at any time without prior notice for breach of these Terms, regulatory requirement, or legitimate business reason. Upon termination, all outstanding compliance, audit, and reconciliation obligations survive.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of [JURISDICTION TO BE CONFIRMED BY OPERATOR], without regard to conflict-of-law principles. Any dispute arising hereunder shall be resolved exclusively in the courts of that jurisdiction.

11. Changes to These Terms

Alpha may update these Terms from time to time. Material changes will be communicated to onboarded Users via the contact details on file. Continued use of the platform following such notice constitutes acceptance.
